Grialink provides an omnichannel Sales Engine System (SES) platform powered by artificial intelligence, designed specifically for aesthetic, dental, and healthcare clinics. Our Services include but are not limited to:

• Prospector AI: Intelligent lead discovery and qualification tools.

• Outreach Engine: Automated omnichannel communication workflows.

• Smart Pipeline: Visual SES pipeline management with AI-powered insights.

• AI Analytics: Real-time dashboards, reporting, and performance metrics.

• Copilot AI: AI assistant with contextual suggestions for agents.

• Call Brain: Call recording, transcription, and analysis.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at info@grialink.com of any unauthorized use of your account or any other breach of security.

We implement industry-standard security measures, including AES-256 encryption, multi-factor authentication, and role-based access control (RBAC). However, you acknowledge that no method of electronic transmission or storage is completely secure.

You agree not to use the Services in any way that:

• Violates any applicable local, state, national, or international law or regulation.

• Infringes upon or violates the intellectual property rights or privacy rights of any third party.

• Involves transmitting any unsolicited or unauthorized advertising, promotional materials, spam, or any other form of solicitation.

• Introduces viruses, trojan horses, worms, or other malicious or harmful code.

• Attempts to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Services.

• Involves collecting or harvesting any personally identifiable information from the Services without authorization.

• Uses the Services for any purpose that is fraudulent or otherwise unlawful.

We reserve the right to terminate or suspend your access to the Services immediately, without prior notice or liability, for any breach of these Terms.

Certain features of the Services require payment. By subscribing to a paid plan, you agree to pay the applicable fees as described on our pricing page. All fees are quoted in US dollars unless otherwise specified.

Billing cycle: Subscriptions are billed on a monthly or annual basis, depending on the plan selected. Annual plans are billed upfront for the entire year.

Free trial: We may offer a free trial period for certain plans. At the end of the trial, you will be charged the applicable subscription fee unless you cancel before the trial ends.

Refunds: All fees are non-refundable except as required by applicable law or as explicitly stated by us in writing.

Payment processing: All payments are processed securely by Stripe. We do not directly store your payment card information.

We reserve the right to change our prices with 30 days' prior notice. Price changes will take effect at the start of the next billing period following the date of the price change.

The Services and their original content, features, and functionality are and will remain the exclusive property of Ezi Group LLC and its licensors. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Ezi Group LLC. "Grialink," the Grialink logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Ezi Group LLC.

You retain ownership of any data or content you submit, post, or display on or through the Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and process such content solely for the purpose of providing and improving the Services.

Your privacy is important to us. Our Privacy Policy, available at the Privacy Policy page on our website, describes how we collect, use, and protect your personal information. By using the Services, you agree to the collection and use of information in accordance with our Privacy Policy.

As a healthcare-focused platform, we understand the sensitivity of patient data. We implement comprehensive security measures and comply with applicable data protection regulations. However, you are responsible for ensuring that your use of the Services complies with all applicable healthcare privacy laws and regulations in your jurisdiction.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EZI GROUP LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Services.

• Any conduct or content of any third party on the Services.

• Any content obtained from the Services.

• Unauthorized access, use, or alteration of your transmissions or content.

Our total liability for any claims under these Terms shall not exceed the amount you have paid us in the twelve (12) months preceding the event giving rise to the liability.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Services will function uninterrupted, secure, or available at any particular time or location; that any errors or defects will be corrected; that the Services are free of viruses or other harmful components; or that the results of using the Services will meet your requirements.

The AI-powered features of our Services are designed to assist and enhance your clinic operations. However, they should not be considered a substitute for professional medical judgment or decision-making.

You agree to defend, indemnify, and hold harmless Ezi Group LLC and its licensors, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Services.

• Your violation of any term of these Terms.

• Your violation of any third-party right, including without limitation any copyright, property, or privacy right.

• Any claim that your User Content caused damage to a third party.

These Terms shall be governed and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will cease immediately. If you wish to terminate your account, you may simply discontinue using the Services or contact us at info@grialink.com.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
